Terms of Use

1. Introduction and Acceptance of the Terms
These Terms of Use (the “Terms”) constitute a binding agreement between you (“you”, “your”, or “User”) and TheVine (“we”, “our”, or “us”) governing your access to and use of the TheVine mobile application, Progressive Web App, and any related websites, APIs, or services (collectively, the “Service”).
By creating an account, accepting an invite code, signing in, or otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to any part of these Terms, do not access or use the Service.
If you are accepting these Terms on behalf of a church, ministry, or other organisation (an “Organisation”), you represent that you are authorised to bind that Organisation, and references to “you” include that Organisation and its authorised members.
2. Eligibility
To use the Service you must:
- Be at least 16 years of age (or the minimum digital-consent age in your jurisdiction, whichever is greater).
- Have legal capacity to enter a binding contract under your local law.
- Not be barred from using the Service under any applicable law or sanctions regime.
- Be invited by, or be an administrator of, an Organisation that has agreed to these Terms.
If we discover that you do not meet these eligibility requirements, we may suspend or terminate your account.
3. Description of the Service
TheVine is a software-as-a-service platform for churches and ministry teams to coordinate post-conversion discipleship and pastoral follow-up. Core functionality currently includes:
- Maintaining records of converts and their pipeline stage (prospective, attending, baptised, and so on).
- Assigning and tracking follow-up tasks across team members.
- Logging activity such as calls, visits, and pastoral notes.
- Surfacing dashboards, analytics, and reminders to keep ministry workflow on schedule.
- Sending push notifications and (where supported) SMS reminders.
We may add, modify, or remove features at any time. Some features may be released in beta or preview state and are clearly identified where this is the case.
4. Account Registration, Invite Codes, and Security
Access to the Service requires an account. Accounts are created either by an Organisation administrator (who issues you an invite code) or, in limited cases, by TheVine after reviewing a new-organisation access request submitted via the signup form.
- Accurate information. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
- PIN and credentials. Your phone number and 4-digit PIN are personal to you. You must keep them confidential, must not share them with any other person, and must not use another User's credentials. We store PINs using one-way cryptographic hashing and never have access to your plain-text PIN.
- Invite codes. Invite codes are confidential. You must not share, resell, post publicly, or otherwise distribute an invite code outside the Organisation it was issued to. Organisation administrators may revoke or rate-limit invite codes at any time.
- Account security. You are responsible for all activity that occurs under your account. Notify us immediately at support@thevineapp.org if you suspect unauthorised access or any other breach of security.
- One account per person. You may not maintain more than one personal account, and you may not create an account using automated means or under false pretences.
5. Organisation Administration
The Service operates on a multi-tenant model. Records you create are visible to other authorised members of your Organisation, and Organisation administrators have elevated permissions to manage members, invite codes, and Organisation settings.
- Administrator responsibilities. If you are an Organisation administrator, you are responsible for issuing invite codes only to individuals authorised to participate in your ministry, for promptly removing members whose roles have ended, and for ensuring your Organisation's overall compliance with these Terms and applicable law.
- Internal disputes. TheVine is not a party to disputes between members of an Organisation or between an Organisation and its members. We will, however, comply with valid legal process directed at an Organisation or its authorised administrators.
- Data access on departure. When a member is removed from an Organisation, that member loses access to the Organisation's records. Records the member created remain with the Organisation, consistent with our Privacy Policy.
6. Acceptable Use and Prohibited Conduct
You agree to use the Service only for lawful, legitimate pastoral and ministry purposes. Without limiting the foregoing, you agree that you will not:
- Violate any applicable law, regulation, or third-party right (including privacy and data-protection law).
- Use the Service to harass, threaten, defame, stalk, dox, surveil, or coerce any person.
- Upload or transmit content that is unlawful, obscene, hateful, discriminatory, or otherwise objectionable.
- Record sensitive information about any person (including health, sexual orientation, immigration status, or political affiliation) unless that person has freely consented and such recording is lawful in your jurisdiction.
- Attempt to gain unauthorised access to the Service, other accounts, or our underlying systems, networks, or data.
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure, except through a coordinated disclosure to legal@thevineapp.org.
- Interfere with, disrupt, or impose an unreasonable load on the Service (including via bots, scrapers, denial-of-service techniques, or excessive API traffic).
- Reverse engineer, decompile, disassemble, or otherwise derive source code from the Service, except where such restrictions are prohibited by applicable law.
- Use the Service to develop or train a competing product, or to extract data in bulk for resale, advertising, or marketing.
- Misrepresent your identity, your affiliation with any person or Organisation, or the origin of any content.
- Use the Service to send unsolicited commercial messages (spam) or to facilitate fraud, phishing, or other deceptive practices.
We may, but are not obligated to, monitor, review, or remove content that violates these Terms. We may also report serious violations to law enforcement.
7. User Content — Converts, Activity Logs, and Pastoral Data
The Service is designed to store information about third parties (converts, prospective converts, and other individuals you minister to) who are not themselves Users of the Service (“User Content”). This places special responsibilities on you.
- Lawful basis for entering data. You represent and warrant that you have a lawful basis (such as legitimate pastoral relationship, informed consent, or other lawful ground under applicable data-protection law) to record personal information about each individual you add to the Service.
- Minimisation. You agree to record only information that is relevant and necessary for the ministry purpose for which it is collected, and to keep such information accurate and up to date.
- Sensitive information. You are solely responsible for determining whether any information you record qualifies as a special category of personal data under applicable law, and for ensuring you have the heightened consent required for such categories.
- Ownership of records. As between you and TheVine, the Organisation under which records are created owns those records. TheVine claims no ownership in your User Content.
- Licence to operate the Service. You grant TheVine a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process your User Content solely to provide, secure, maintain, and improve the Service. This licence ends when the User Content is deleted from the Service, except for backup copies that may persist for a limited period.
- Aggregated and anonymised data. We may compile aggregated and de-identified statistics derived from User Content (for example, the number of follow-ups completed across the platform) and use such statistics for analytics, research, or product improvement. Aggregated data will not identify you, your Organisation, or any specific individual.
- Right to remove individuals. If an individual whose data you have recorded objects to the processing or requests deletion, you must promptly remove or anonymise their record using the in-app tools and notify your Organisation administrator. TheVine will reasonably assist where required by law.
8. Intellectual Property
The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by TheVine or its licensors and is protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Service for your internal non-commercial ministry purposes.
All rights not expressly granted in these Terms are reserved by TheVine. You may not remove or alter any proprietary notice on the Service. The names “TheVine”, our logo, and any related marks are our trademarks; you may not use them without our prior written consent except as necessary to identify the Service.
Feedback. If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them for any purpose without obligation to you.
9. Push Notifications, SMS, and Communications
By using the Service you consent to receive operational communications, including push notifications (delivered through Firebase Cloud Messaging), SMS messages (delivered through our SMS provider where supported), and emails relating to your account, your follow-up workflow, security alerts, and material changes to the Service.
You may control push notifications through your device settings and may opt out of non-critical email notifications by adjusting your in-app preferences. Standard carrier rates may apply to SMS messages. We do not use these channels to send you third-party advertising.
10. Third-Party Services
The Service integrates with third-party services (including Firebase Cloud Messaging for push delivery, an SMS gateway for one-time-code delivery, and our cloud-hosting provider). Your use of those services may be subject to their own terms and privacy policies. TheVine is not responsible for, and does not endorse, any third-party service, content, or website that may be linked from the Service.
11. Service Availability, Beta Features, and Modifications
We aim to make the Service available continuously but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, security patching, or for reasons beyond our reasonable control (such as infrastructure outages or network failures).
Certain features may be designated as “beta”, “preview”, “experimental”, or similar. Such features are provided on an as-available basis, may change or be withdrawn at any time, and are not subject to any service-level commitment. You acknowledge that the Service is, at the date of these Terms, in active development and that some workflows may evolve over time.
We may add, change, or discontinue features. Where a change materially reduces the functionality available to you, we will give reasonable prior notice through the app or by email.
12. Fees and Subscriptions
The Service is currently provided at no charge. We reserve the right to introduce paid plans or premium features in the future. If we do, we will give you reasonable advance notice and an opportunity to review and accept any payment terms before any fee becomes payable. You will never be charged for features you used during a free tier without your explicit consent.
13. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by applicable law.
We disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that data loss will not occur. You are solely responsible for the accuracy of records you enter and for the pastoral, organisational, and legal decisions you make on the basis of those records.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will TheVine, its officers, directors, employees, contractors, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses arising out of or in connection with your use of, or inability to use, the Service.
Our aggregate liability for any and all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total amount you have paid to TheVine in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (US$100). These limitations apply even if any remedy fails of its essential purpose and even if TheVine has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full. Nothing in these Terms limits liability that cannot be excluded under applicable law (including liability for fraud, gross negligence, or death or personal injury caused by negligence).
15. Indemnification
You agree to indemnify, defend, and hold harmless TheVine and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content, including any claim that your User Content infringes any third-party right or violates any law; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party right.
TheVine reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.
16. Suspension and Termination
You may stop using the Service at any time and may request account deletion via support@thevineapp.org in accordance with our Privacy Policy.
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:
- You have breached these Terms or any applicable law.
- Your conduct creates risk or legal exposure for TheVine, other Users, or any third party.
- An Organisation administrator has revoked your access.
- Continued provision of the Service to you is no longer commercially or technically reasonable.
Sections 7 (User Content), 8 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law), and 19 (Miscellaneous) survive any termination of these Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which TheVine is established, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
Before initiating any formal legal proceeding, you agree to first contact us at legal@thevineapp.org and to attempt in good faith to resolve the dispute informally for at least sixty (60) days. Any unresolved dispute will be brought exclusively in the competent courts of the jurisdiction in which TheVine is established, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
18. Changes to These Terms
We may revise these Terms from time to time. When we make material changes we will update the “Effective date” above and, where appropriate, notify you in the app or by email. Non-material changes (such as clarifications, formatting, or correction of typos) take effect immediately on posting.
Your continued use of the Service after the effective date of a revised version constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before they take effect.
19. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and TheVine regarding the Service.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to render it valid and enforceable.
- No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or similar transaction.
- Notices. We may give you notices through in-app messages, push notifications, or to the email address you have provided. You may give us notice by emailing legal@thevineapp.org.
- No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and TheVine.
- Headings. Section headings are for convenience only and do not affect interpretation.
